Welcome to InGrid, powered by Apis Energy Technologies Inc. (“Apis”)! These Terms and Conditions (“Terms”) apply to your use of InGrid, a mobile game that allows you to simulate electricity consumption and experiment with electricity pricing models and experiment with electricity-saving technology in-game.   1. OVERVIEW 

When you use InGrid, Apis creates an electricity profile that collects information relating to your in-game consumption and use of electricity, as well as usage of the app.We do not use this data to identify individual users or sell it to third parties. Based on your electricity profile, we may refer you to an electric utility provider based in the State of New York (“Provider”) to participate in a real-world electricity pricing programs from which you may benefit, as well as technology solutions that may save you electricity in the real world. 

You may use InGrid only if you can form a binding contract with Apis and are legally permitted to do so. By using InGrid, you represent and warrant that you have the full right, power, and authority to agree to and be bound by these Terms and to fully perform all of your obligations hereunder. 

  1. USING INGRID 

Eligibility and Usage Rules. InGrid is intended for residents of New York state over the age of thirteen.  You represent and warrant that you are over the age of thirteen, or any higher minimum age as may be required under applicable laws. You further acknowledge and agree that persons under the age of thirteen may not access, subscribe to, or otherwise use InGrid. You represent and warrant that you reside in the United States of America.  

Restrictions on Use of InGrid. You shall not yourself or through any third party (i) rent, lease, sell, distribute, sublicense, or otherwise make available InGrid to any third party (except as permitted under these Terms); (ii) copy, replicate, decompile, reverse-engineer, modify, or create derivative works of InGrid, or any part thereof; (iii) access InGrid for purposes of building or marketing a competitive product or to train artificial intelligence systems; (iv) store, transmit or otherwise introduce a virus or malicious application or code to, in or through InGrid; (v) use InGrid to transmit unsolicited emails or engage in spamming; (vi) use any site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine,” or in any way reproduce InGrid or its contents; (vii) test the vulnerability of InGrid, any Apis system, or any component or platform you access through your use of InGrid, or breach any security or authentication measures; (viii) post, distribute or reproduce in any way any copyrighted material, trademarks, service marks, trade secrets, patents, domain names, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights; and/or (ix) bypass the measures Apis may use to prevent or restrict access to InGrid, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of InGrid. 

Acceptable Use Policy. In addition to all other obligations and restrictions set forth in these Terms, you agree that you are solely responsible for your use of InGrid, and you agree to use InGrid in a manner consistent with any and all applicable laws, rules, and regulations. In connection with your use of InGrid, you agree not to:  

  1. use, display, copy, modify, or create derivative works based on InGrid; and 

  1. interfere with or disrupt InGrid and/or the related servers or networks. 

  1. DATA PRIVACY AND DATA USE 

Data Privacy. Apis collects limited personal information from you, including your email address and IP address to create, manage and secure your account. InGrid may also collect gameplay data, hardware and software information, county-level geolocation data, and usage data using mobile software development kits (SDKs). These SDKs help us understand how users interact with InGrid and which products or services may help users. We retain gameplay data for up to five years. This data is owned by Apis and may be used for internal modeling, utility engagement, and product refinement, subject to applicable law and these Terms. You may delete your account and request that your personal information be deleted by contacting [support@apisenergytech.com]. 

Commercial Referrals. Apis may receive promotional fees for referring third-party products or services to you, including electricity-saving technologies. Apis does not share your personal information with such third parties without your consent. Apis may otherwise use aggregated and anonymized data for commercial purposes. 

Potential Provider Referrals. Based on your use of InGrid, you may be referred to a Provider for opportunities to change your electricity rates or pricing. These Terms do not apply to any services offered by a Provider. Apis is not responsible for any representations made by a Provider or for the administration, terms, or outcomes of services offered by a Provider. Apis will not share personal information with a Provider without your consent.  

Use of Data in Publications.  By using InGrid, you grant Apis the right to use your data for academic, commercial, and public research publications. Any such data will be anonymized and aggregated with other user data. Publications may be commercialized, sold or made available behind a paywall.  

  1. APIS’S INTELLECTUAL PROPERTY 

Access to InGrid. Subject to your compliance with these Terms, you are granted a non-exclusive, limited, non-transferable, freely revocable license to access and use InGrid for personal use. Each user must have a unique account, and you are responsible for all activity conducted on your account.  

Intellectual Property. Apis owns and retains all rights, title, and interest in and in connection with InGrid, and any changes, modifications, or corrections thereto. Other than the rights of access and use expressly granted in these Terms, Apis does not grant you any right, title, or interest in or in connection with InGrid.  

Open Source Components. InGrid may contain certain third-party components, including any software or components subject to, distributed, transmitted, or otherwise made available under any so-called “public license,” “open source license,” “free license,” “industry standard license,” “intellectual property pool license” (“Open Source Components”). You acknowledge and agree that Apis makes no representations or warranties with respect to the Open Source Components, which may be integrated into or otherwise utilized in inGrid on an “as-is,” “as-available” and “with all faults” basis, without any obligation of support, maintenance, or indemnification.  

Ownership of Feedback. You may, from time to time, submit feedback, comments, and suggestions for improvements to InGrid, and Apis may also, to the extent permittedby the applicable law, track your use of InGrid through certain analytic tools (collectively, “Feedback”). Apis is the sole and exclusive owner of all rights in and to the Feedback. 

  1. LIABILITIES, WARRANTIES, AND VIOLATIONS   

Fictional Simulation Only; No Apis Representations. InGrid simulates electricity consumption. The game does not manage, interface with, or reflect your actual real-life electricity usage. All gameplay mechanics, including pricing and performance metrics, are fictional simulations. In-game performance in InGrid does not guarantee lower electricity bills or eligibility for utility rewards or pilot programs. All energy prices, consumption data and outcomes presented in the game are simulated and may not reflect actual rates or savings from any utility. All in-game rankings, scores, and “electric profiles” are illustrative and based on simulated data. No in-game actions, achievements, or outcomes constitute or give rise to an offer of service, financial benefit, or contract of any kind with Apis or any utility provider. Apis is not responsible for any interpretation of the in-game data as real-world advice or savings.  

Disclaimer; No Warranty. Your use of InGrid is solely at your own risk. To the fullest extent permitted under the applicable law, InGrid, including any Open Source Components thereof, and any other Apis products or services subject to these Terms are provided on an “as-is” and “as-available” basis, without a warranty of any kind. Apis explicitly disclaims all express or implied warranties arising out of or related to InGrid or these Terms, including warranties of fitness for a particular purpose, title, merchantability, accuracy, availability, reliability, security, privacy, compatibility, non-infringement, and any warranty implied by course of dealing, course of performance, or trade usage. Apis, its agents and employees disclaim any warranties for the security, reliability, timeliness and performance of InGrid. Apis, its agents and employees further disclaim any warranties for any services, goods, information, or advice received through, connected to, or advertised on InGrid, or received through any links provided in InGrid, including but not limited to any rate structures, cost estimates, or pricing that may be displayed or otherwise provided to you. 

Limitation of Liability. You expressly understand and agree that under no circumstances shall Apis, its agents, or employees be liable to you as a result of your access to, use or misuse of, or reliance on InGrid, or by reason of any good, service, information or advice received through InGrid or through any links provided through InGrid. In no event shall either party be liable for any consequential, incidental, indirect, special, or exemplary damages, losses, or expenses arising out of or related to access to, use or misuse of, or reliance on InGrid, including but not limited to business interruption, lost business, or lost profits, use, data or other intangible losses, even if Apis has been advised of the possibility of such damages.   

IN NO EVENT SHALL THE AGGREGATE CUMULATIVE LIABILITY OF APIS HEREUNDER (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY IN TORT OR BY STATUTE OR OTHERWISE) EXCEED ONE HUNDRED DOLLARS ($100). 

IN NO EVENT SHALL APIS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSSES, OR EXPENSES (INCLUDING BUT NOT LIMITED TO BUSINESS INTERRUPTION, LOST BUSINESS OR LOST PROFITS) EVEN IF IT HAS BEEN ADVISED OF THEIR POSSIBLE EXISTENCE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. THE FOREGOING LIMITATIONS SHALL NOT APPLY TO LIABILITIES ARISING OUT OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD.  

These Terms do not affect consumer rights that cannot by law be waived or limited. These Terms do not limit liability arising out of either party’s gross negligence, fraud or willful misconduct. 

Indemnification of Apis. You agree to defend, indemnify and hold harmless Apis, its agents and employees from and against any and all losses, claims, causes of action, obligations, liabilities, and damages whatsoever, including attorneys’ fees, arising out of or relating to (i) your access or use of InGrid, (ii) your breach of any of the Terms,(iii) any claim by you or a third party acting through you against Apis, including claims that any information provided in or through InGrid is incorrect or misleading. 

Violations. Apis assumes no responsibility or obligation to monitor your use of InGrid.  Notwithstanding the foregoing, if Apis, in its sole discretion, determines that you or your use of InGrid violates these Terms, including but not limited to the Sections entitled “Eligibility and Usage Rules”, “Restrictions on Use of InGrid” and “Acceptable Use Policy”,  Apis may take one or more of the following actions in its sole discretion: (i) delete the data or content as applicable; (ii) suspend your access to InGrid; (iii) terminate and delete your account and all data associated with that account; (iv) permanently ban you from using InGrid; and/or (v) disclose the prohibited activity to appropriate government authorities. 

  1. TERM AND TERMINATION 

Term. These Terms shall take effect upon your acceptance of them and shall continue in full force and effect until your account is deleted or terminated.  

Survival of Terms. Sections titled “Term and Termination”, “Apis’s Intellectual Property”, “Liability, Warranties and Violations”, and “Miscellaneous”, as well as all other provisions of these Terms which by their nature are intended to survive expiration or termination of these Terms, shall survive any expiration or termination of these Terms. 

  1. MISCELLANEOUS 

Governing Law. These Terms and your use of InGrid shall be governed by and construed in accordance with the laws of the State of New York, excluding any conflict of laws provisions.  

Dispute Resolution. Any disputes arising out of or in connection with these Terms shall be adjudicated in a court of competent jurisdiction located in the State of New York of the United States of America. You and Apis hereby each irrevocably submit to the jurisdiction of such court for the foregoing purposes. You and Apis each waive and agree not to assert by way of motion, as a defense or otherwise in any such suit or other proceeding, any claim that it is not subject to the jurisdiction of the above courts. 

Assignment. You may not assign or otherwise transfer these Terms or any of your rights under these Terms without Apis’s prior written consent except to any successor by way of a merger, acquisition, or change of control. Apis may transfer or assign any of its rights and obligations under these Terms, in whole or in part, at any time with or without notice. 

Severability. If a particular provision of these Terms is found to be invalid or unenforceable, it shall not affect the other provisions, and these Terms shall be construed in all respects as if that invalid or unenforceable provision had been limited or omitted to the minimum extent necessary. 

Waiver. Apis’s waiver or failure to enforce any provision of these Terms shall in no way be construed to be a present or future waiver of such provision nor affect Apis’sability to enforce any provision thereafter. 

Notices. All required notices to you will be sent to the email address associated with your account or through other legally permissible means. 

Changes to these Terms. Apis may, at any time, at its own discretion and without notice, manage, regulate, control, modify, or eliminate InGrid or any components thereof. Apis may, at any time and at its own discretion, modify or amend these Terms and will notify you by posting the modified Terms in the InGrid application. Your continued access to or use of InGrid constitutes your acceptance of any such modified Terms. 

Changes to InGrid. Apis may add, change or remove features or functionality to InGrid; modify or introduce limitations or other features; or discontinue InGrid altogether at any time for any reason or no reason at all. 

Reservation of rights. Apis reserves all rights not expressly granted under these Terms. 

Entire Agreement. These Terms constitute the entire agreement between you and Apis concerning the subject matter hereof, and supersede any prior representations, terms, or understandings between you and Apis, whether written or oral, including previous versions of the Terms. In the event that any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be unenforceable, any such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms will be binding upon and will inure to the benefit of Apis and you, and Apis’s and your respective successors and permitted assigns.
